How does Germany transpose MiFID II into national law?

Germany transposed the European MiFID II Directive into national law through the Second Financial Market Modernization Act (2. FiMaNoG). The centrepiece is the comprehensive reform of the German Securities Trading Act (WpHG), which has imposed stricter conduct of business and organisational requirements on investment firms since January 2018. What does the 2nd FiMaNoG regulate and which laws are affected?

The Second Financial Market Modernization Act (2. FiMaNoG) transposes the EU MiFID II Directive into German law. It primarily reforms the Securities Trading Act (WpHG) but also amends the Stock Exchange Act (BörsG), the Banking Act (KWG) and contains implementing provisions for MiFIR and the Benchmarks Regulation. What new conduct of business rules does the reformed WpHG impose?

Since the reform, conduct of business rules for investment firms are found in Sections 63 ff. WpHG. Key changes include suitability statements replacing the former advisory protocol, stricter record-keeping for telephone calls and electronic communication, expanded cost transparency with ex-ante and ex-post disclosure, and tighter inducement rules.

How do BaFin requirements differ from ESMA guidelines?

BaFin has published its own interpretive decisions on several ESMA guidelines, reflecting national specificities. These include specific expectations for suitability assessment documentation, stricter standards for recording advisory conversations and more precise cost information requirements. German institutions must comply with both layers (ESMA and BaFin) simultaneously.

What does the product governance obligation under the WpHG entail?

Sections 80(9‑13) WpHG require manufacturers of financial instruments to define a target market and establish a distribution strategy. Distributors must verify whether a product is suitable for each client. BaFin expects regular target market reviews and documented cooperation between manufacturer and distributor.

What reporting obligations arise from MiFIR for German institutions?

MiFIR requires transaction reporting to BaFin via Approved Reporting Mechanisms (ARM). All transactions in financial instruments admitted to or traded on a trading venue must be reported.
